Standard Terms — Applicable to All Releases
Legal Framework & Jurisdiction
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall be resolved in the courts of Toronto, Ontario. Both parties agree to submit to the exclusive jurisdiction of those courts.
Consideration & Binding Nature
This release is entered into in consideration of the value described in Section 03 of this agreement (whether services, monetary compensation, or other agreed consideration), the receipt and sufficiency of which is acknowledged by both parties. This agreement is legally binding upon execution.
Photographer's Copyright Ownership
The Photographer retains full and exclusive copyright ownership of all photographs taken during the session, as provided under the Canadian Copyright Act, R.S.C. 1985, c. C-42. This release grants the Model certain usage rights to the photographs; it does not transfer copyright ownership under any circumstances. The Photographer's copyright persists regardless of the scope of rights granted herein.
Model Approval Rights
The Model has the right to approve or reject any specific photograph before it is used for the purposes outlined in this release. The Photographer will provide digital previews within 14 business days of the session. The Model must submit written approvals or rejections within 7 business days of preview delivery. Failure to respond within the 7-business-day period constitutes approval of all submitted images for use within the rights granted by this agreement.
Artificial Intelligence (AI) Usage
The Photographer has full rights to use AI technology for photo editing, enhancement, retouching, background replacement, lighting adjustment, colour grading, and other post-production improvements to the photographs. The Photographer may also use these photographs to create AI-assisted artistic variations, still-to-video content, character adaptations, style variations, and other creative derivatives using artificial intelligence technology for the Photographer's own artistic and commercial purposes. Any AI training use of these photographs is solely for the Photographer's own professional tools and systems; the photographs will never be submitted to third-party public AI training datasets without separate written consent. All AI-generated or AI-enhanced content derived from these photographs carries the same usage restrictions as the original photographs under this release.
Data Protection & Privacy (PIPEDA)
The Photographer will handle all images and personal information collected in this agreement in accordance with applicable Canadian federal and Ontario provincial privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). Images will be stored securely. Personal information collected in this form is used solely for the purposes of this agreement, record-keeping, and the delivery of photographic services. It will not be sold or disclosed to third parties except as necessary to fulfil the rights granted herein.
Third-Party Usage Restriction
All rights granted in this release are for the direct use of the named parties only. Any third party (including brands, agencies, partners, affiliates, or assignees) wishing to use these photographs must obtain separate written permission directly from the Photographer and enter into a direct licensing agreement at the Photographer's then-current commercial rates. Unauthorised third-party use will result in immediate invoicing for commercial licensing fees plus all legal costs and disbursements.
Electronic Signature Validity
The electronic signature provided in this agreement, together with the typed legal name confirmation, constitutes a valid and legally binding signature under Ontario's Electronic Commerce Act, 2000, S.O. 2000, c. 17. Both parties agree that this electronic signature carries the same legal weight as a handwritten signature. The submission timestamp, IP address, and geolocation data are recorded for verification purposes.
Limitation of Liability
The Photographer's total liability arising from any breach of this agreement shall not exceed the total fees paid (if any) for the photography session. Neither party shall be liable for indirect, incidental, or consequential damages.
Severability & Entire Agreement
If any provision of this agreement is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This document constitutes the entire agreement between the parties regarding the rights to the photographs and supersedes all prior oral or written representations.
